Lisa Hedrick is an associate in Hirschler Fleischer's Business Section. Her practice focuses on mergers and acquisitions, entity formation and governance and hedge funds and private equity funds. Lisa is an active member of the Mergers and Acquisitions Committee of the American Bar Association. She serves on the working group for the 2011 Private Target Deal Points Study and on the Judicial Interpretations subcommittee.
Relevant Experience:
- Represented an international wood pellet manufacturer in a multi-million dollar restructuring and in the post-restructuring acquisition of strategic targets.
- Represented a distressed manufacturer in the sale of its assets to a foreign strategic buyer.
- Represented a private equity investment firm with over $800 million in capital under management in the acquisition of a domestic industry leader and its foreign subsidiaries.
- Represented an international manufacturing company in the refinance of its senior loan facility.
- Assists closely-held companies with drafting and adopting phantom equity compensation plans.
- Represented a manager in the formation of a distressed real estate private equity fund. Also represented the manager in connection with the fund's financing of a mezzanine loan to the developer of a 115-acre mixed-use project.
- Represented a registered investment advisor in the formation of a hedge fund created to consolidate the trading activities of separately managed accounts.
